Acceptance of the Agreement
This License Agreement is a contract between you — the account holder — and FABTECH SOFTWARE INC., a New York corporation with its principal office at 418 BROADWAY STE R, ALBANY, NY 12207, United States, operating multimedia-soft.com. The document takes effect the moment you log into the rendering console, call the API with an issued key, or trigger any paid feature, whichever happens first. If you are accepting on behalf of a company or studio, you confirm that you have authority to bind that entity, and the word "you" in the paragraphs below refers both to you personally and to the organization you represent. If any clause is unacceptable, do not proceed with the sign-in flow.
License
Subject to your continued compliance with this Agreement and the payment of the applicable subscription fee, FABTECH SOFTWARE INC. grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use Video Processor AI for your internal creative, commercial, or archival purposes. The license is tied to the individual account; you may not resell the seat, run it on behalf of clients through a white-label wrapper without our prior written consent, or open the account to shared use by an undisclosed team. Any attempt to reverse-engineer, decompile, disassemble, translate, or otherwise derive the source code, the model weights, or the training data underlying the service is prohibited, except to the narrow extent that mandatory law in your jurisdiction expressly allows such activity and only after you have first asked us to supply the information you need.
The output files that Video Processor AI returns to you — the compressed master, the converted container, the enhanced clip — remain yours. You are solely responsible for ensuring that you hold every right necessary to upload the source material in the first place and to exploit the rendered output downstream. We make no claim over your footage, your edits, or the commercial releases you build from them. In return, you agree not to submit material that you do not have the right to process, including but not limited to copyrighted content owned by a third party without authorization, personal data that cannot lawfully be shared with a U.S. processor, or media that violates applicable export-control, sanctions, or obscenity law.
Restrictions on Use
Video Processor AI is licensed, not sold, and is provided as a managed cloud service rather than as installable software. A subscription or lifetime license authorizes access to the feature set and the GPU capacity described on the pricing page for the tier you selected; it does not convey ownership of the underlying platform. A free tier, where available, is intended for evaluation and light personal use and is subject to daily quotas that we may adjust at any time. Sustained production volumes, batch workflows above a normal studio workload, or commercial redistribution require an active paid subscription. You may not use the service to build, train, or assist a competing product, to host render capacity for third parties without a separate commercial agreement, or to transmit malware, illegal content, or material intended to harass an identifiable person.
Limitation of Liability
To the fullest extent permitted by applicable law, FABTECH SOFTWARE INC. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to this Agreement or your use of Video Processor AI, including lost profits, lost revenue, lost goodwill, lost data, reconstruction of lost footage, or business interruption, even if we were advised of the possibility of such damages. Our aggregate liability for any claim, regardless of the theory asserted, will not exceed the total amount you paid to us in the twelve months immediately preceding the event giving rise to the claim. Nothing in this clause limits liability that cannot be excluded by statute, including liability for death or personal injury caused by our negligence, for fraud, or for obligations under a mandatory consumer-protection regime that governs your account.
General
If any provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions continue in full force and are to be interpreted, where possible, to preserve the original commercial intent of the parties. A waiver of any right under this Agreement is effective only if given in writing by an authorized officer of FABTECH SOFTWARE INC.; no failure to enforce a clause on one occasion waives the right to enforce it on a later occasion. Feature updates, model retrains, UI revisions, and pricing changes may be introduced from time to time; we will give reasonable notice of material changes inside the app before they take effect.
This Agreement, together with the Terms of Use, the Privacy Policy, and the current pricing page, constitutes the entire understanding between you and us regarding Video Processor AI and supersedes any prior promise, demo, sales email, or statement made before the account was created. You may not assign this Agreement to a third party without our written consent; we may assign it to an affiliate or a successor in interest without notice. All content presented through multimedia-soft.com — including the marketing copy, the UI layout, the iconography, the product screenshots, the documentation, the Video Processor AI name, and the trained model weights — is owned by FABTECH SOFTWARE INC. and protected by United States and international copyright and trademark law. You may not copy, mirror, republish, re-host, crawl for training, or otherwise reproduce any of that material without prior written permission signed by an authorized representative of the company. Unauthorized use will be pursued through every remedy available under the law, including injunctive relief and damages. All other trademarks, service marks, and product names referenced on the site belong to their respective owners and are used for identification only, without implying endorsement.
